Merchant Agreements - Terms for Using the Sports Payment Solution

1. Parties and Scope
This agreement is entered into between Buypass Payment AS, org. no. 980 932 753 (hereinafter referred to as Buypass), and the Merchant.
The Merchant refers to any legal entity, organization, club, association, or business that has entered into an agreement to use Buypass payment services. The Merchant must be affiliated with the Norwegian Sports Federation (NIF) and have a registered contact person and address with Buypass.
The agreement governs the Merchant’s use of payment services provided by Buypass, including the Sports Payment Solution.
2. Sports Payment Solution
The Sports Payment Solution is developed for Norwegian sports and is provided by Buypass in cooperation with NIF. The solution is available through NIF’s digital services, such as Min Idrett, SportsAdmin, and iSonen, and may be made available in additional systems over time.
Supported payment methods currently include invoice, eFaktura, Avtalegiro, card payments (Visa/Mastercard), Vipps, Apple Pay, and EHF invoicing between clubs. Available options may vary depending on the service used.

3. Agreement Setup
The agreement is created digitally at https://www.buypass.no/mrc, with identification via Idrettens ID. More info: https://www.idrettsforbundet.no/digital/idrettens-id/
Once submitted, Buypass sends an email with a link for signing using BankID. Only individuals with signing authority registered in the Brønnøysund Register can sign. After signing, Buypass will review and approve the agreement.
The Merchant can start receiving payments before final approval, but transfers to the bank account occur only after approval. If the agreement is not approved, payments are refunded to the payer.
4. Account and E-Money
Upon signing, payment accounts are created in Buypass Payment Manager (BPM) at https://bpm.buypass.no/. Access is role-based. More info: https://hjelp.bpm.buypass.no/.
The Merchant can manage multiple accounts at no cost, set payout frequency, and register bank accounts. Buypass only pays out to Norwegian bank accounts owned by the Merchant.
All transactions occur in e-money, meaning electronic value stored in the payment account. E-money is not considered a deposit and does not earn interest. Buypass issues e-money under its license and is supervised by the Financial Supervisory Authority of Norway.
5. Payout and Costs
Creating and maintaining the agreement is free. Transaction fees apply per the current price list published by NIF: https://www.idrettsforbundet.no/digital/idrettens-betalingslosning/kostnader. Prices may change without renegotiation.
Collected amounts, minus fees, are credited to the Merchant’s account and transferred to the registered bank account. If fees are unpaid, the outstanding amount will be invoiced with a 30-day payment term.
6. Availability and Operations
The solution is generally available 24/7, but downtime may occur due to technical issues or maintenance. No uptime guarantee is provided. Buypass is not liable for losses due to downtime. Support: +47 22 70 13 00 or support@buypass.com.
7. Liability Limitations
Buypass is only responsible for processing transactions received in its systems. Disputes regarding goods/services are outside Buypass’ responsibility. Liability is limited to the transaction amount.
8. Complaints
Complaints must be submitted in writing without undue delay. If the issue may be criminal, Buypass may require a police report.
9. Force Majeure
Extraordinary events (war, strike, etc.) suspend Buypass’ obligations without liability.
10. Access Blocking
Buypass may block access without notice if criminal activity is suspected.
11. Rights
The Merchant is granted a limited right to use the solution. All intellectual property belongs to Buypass or its suppliers.
12. Changes and Maintenance
Changes are announced via Buypass’ website or BPM. The Merchant must keep contact details updated.
13. Assignment
The Merchant cannot transfer rights/obligations without Buypass’ consent.
14. Duration and Termination
The agreement runs until terminated with one month’s notice. Material breach allows termination with 14 days’ notice.
15. Disputes and Governing Law
Norwegian law applies. Disputes go to Oslo District Court.
16. Privacy

17. Confidentiality
Both parties must maintain confidentiality regarding the agreement and related information.
